TERMS AND PRIVACY

TERMS AND CONDITIONS

Valley of Renewell, LLC Rules, Regulations, Policies and Procedures

Many companies hide their ‘stuff’. Valley of Renewell, LLC puts it in a forthright, readable, informative format.

             INDEPENDENT AFFILIATE

Valley of Renewell, LLC (the company) Provides a multitude of things from which I can choose help me live fully in my mind, body, and spirit. Among them are books, audio-visual devices, hobbies, intellectual recreation and conversation, and the enjoyment of things of magnificence, beauty, and art. Also: workshops, seminars, retreats - plus health-related products and services.

An Individual or a Business (single proprietor, partnership, or corporation) applies by via the internet. Applicant will be accepted or rejected at the sole discretion of the company. An Independent Affiliate engages in marketing activity for the products and services which the company offers - in accordance with the company policies and procedures. Both Individuals and Businesses agree to the following terms:

Applicant:

Meets jurisdictional requirements for entering into business.

Individual is of legal age and has sufficient capacity to conduct business. Husband and wife are co-applicants. Minor children, who have sufficient capacity to conduct business, may apply under the trusteeship and sponsorship of a parent or legal guardian. Business must also submit a photocopy of current jurisdictional license (if regulated by government).

IS an independent contractor and IS NOT - in any way, sense, or form - construed to be an employee of  the company and IS NOT covered by any laws regarding ‘employees’. IS NOT the owner of a franchise or sole distributorship. DOES NOT have an exclusive territory. (the company - sponsor - Affiliate

method of doing business has - NO joint venture, NO employee-employer, NO

partnership, ‘NOR anything like this’ - relationship actual or implied).

IS responsible for doing business under established jurisdictional legal guidelines (present and future) pursuant to this agreement including - but not limited to - buying, advertising for the sale and distribution of products and services offered by the company. IS responsible for its own jurisdictional licensing (if any) and taxes pursuant to any business activity concerning this agreement.

AGREES A. NOT to divulge (except as required by law) the amount of personal earnings OR make any unfounded claims regarding the amount of potential personal earnings; B. NOT to infringe upon copyrighted and/or any other proprietary material (including but not limited to copyrights, trademarks, logos, agreements, product names and/or formulas, trade secrets, confidential business information), etc. owned by the company, C. NOT to make any unwarranted claims, allegations, or misrepresentations regarding any products and/or services offered the company.

AGREES TO use ethical business practices and comply with the company rules, regulations, policies and procedures as are now constituted; or as they may be amended in the future.

The opportunity to become an Independent Affiliate is FREE with the purchase of one Advancing Individual Module of goods and/or services as defined and offered by the company. The current definition of ‘Advancing Individual Module’ is any and all of the company’s products, or services with a combined retail price of USD $145 or more. There is NO sales kit to purchase. There are NO membership fees or renewal fees. The Independent Affiliate may cancel its Affiliation, in writing, at any time.

The term of the Independent Affiliate with the company is indefinite, providing the Independent Affiliate’s account remains active. An Independent Affiliate’s account is deemed inactive when less than USD $145 products or services are purchased on or before the start of each six month affiliate anniversary date. (This amounts to approximately USD $25 of purchases per month excluding tax, if any, and shipping fees.). If LESS THAN USD $145 of product is purchased from the company during this time frame, the Independent Affiliation is dissolved and the compensation plan ceases. Future commission(s), rewards, and incentives cease immediately. Down-line tiers of distributorship(s), (if any), is/are reassigned to the immediate up-line Affiliate.

Compensation paid by the company is by direct deposit to the Affiliate’s PayPal account Each Independent Affiliate must have a separate PayPal account.

For those who may desire an alternative to the Business Builders Cash Rewards program outlined above, there are THREE Product Rewards groups from which one can choose upon sign-up. Affiliates may elect to transfer enrollment to a different Reward Category at any time. However, this requires manual account reconfiguration and a USD $10 fee is charged for this service.

A LOOSELY FORMED PARTNERSHIP

An agreement wherein two or more parties align themselves in a joint venture (such as purchasing Embracing Abundance and Cosmic Expansion and developing an Independent Affiliation). A handshake is considered to be a binding covenant. In time, however, a great deal of money may be distributed to the ‘partnership’; so, for the benefit of all those concerned, please consider including the following in the agreement. It is suggested that the terms of the partnership should be specific; including the percentage of investment of capital, labor, etc.,  percentage of ownership of assets and liabilities, banking policies,  method of accounting and accountability,  distribution of profits, arbitration, insurance,  taxes, and so forth. The agreement, in writing, should be signed by each party, and notarized. Each party retains an original, signed agreement. This becomes a binding contract between the parties. [All loosely formed partnerships shall adhere to jurisdictional regulations (if any) regarding forming and operating partnerships. This may or may not pertain to home based operations]. It may be better choice to enroll as separate Independent Affiliates, and just help each other.

As far as the company is concerned, the ‘partnership’ is a single entity and is treated the same as an Independent Affiliate.

NO owner of a ‘corporation’, ‘partnership’ or ‘sole proprietorship’ enrolled in this program is allowed, simultaneously, to be an Independent Affiliate as an individual. Compensations are deposited directly to ONE PayPal account, not to individual members of the ‘partnership’, ‘corporation’, etc.

AFFILIATE COMPENSATION **

the company recognizes that ongoing education is beneficial for all - the company specializes in products and services which directly or indirectly relate to the needs, wants, and desires of advancing individual(s). Affiliates are entitled to purchase products and/or services from the company for personal or family use, however, NO compensation is given by the company for these purchases, unless enrolled in one of the Product Rewards options. In addition, the company only authorizes advertising of its products and services; thus prohibiting the actual purchase of its products and/or services for resale.

Affiliates are compensated a percentage of all personal sales (but not personal purchases) (of the company’S products and/or services) and a percentage of sales and purchases made through six tiers of down-line Affiliates. (It’s a big job to account for all these transactions, therefore, the applicant agrees that a small processing fee - to help defray the expense of this service - shall be retained by  the company).

Product Rewards Affiliates are compensated according to the terms of the category in which they are enrolled.

**Compensation is not paid on money received by the company for order processing, sales tax, shipping, and handling.
